Terms of Service

1. Acceptance of Terms
By accessing or using the Curvii platform ("Service"), you agree to be bound by these Terms of Service ("Terms"). If you are using the Service on behalf of an organisation, you represent that you have the authority to bind that organisation to these Terms. If you do not agree, do not use the Service.
2. Description of Service
Curvii is a financial insights platform that connects to your Xero accounting software. The Service uses artificial intelligence to analyse your financial data and provide dashboards, reports, forecasts, and actionable insights for your business.
3. Account Registration
You must provide accurate and complete information when creating an account. You are responsible for maintaining the confidentiality of your login credentials and for all activity under your account. You must notify us immediately of any unauthorised use. We reserve the right to suspend or terminate accounts that violate these Terms.
4. Xero Integration
To use Curvii, you must authorise our application to access your Xero organisation data via OAuth 2.0. You are responsible for ensuring you have the necessary permissions within your Xero account to grant this access. Curvii acts as a Xero Connected App and complies with Xero's API terms of use and developer requirements. You may revoke Curvii's access at any time via your Xero settings, though doing so will prevent the Service from functioning.
5. Subscriptions and Payment
Curvii offers both free and paid subscription plans. Paid plans are billed monthly or annually as selected at the time of subscription. Fees are non-refundable except as required by law. We may change our pricing with 30 days' notice. Continued use after a price change constitutes acceptance. You may cancel your subscription at any time; cancellation takes effect at the end of the current billing period.
6. Acceptable Use
You agree not to:
- Use the Service for any unlawful purpose or in violation of any applicable laws.
- Attempt to gain unauthorised access to any part of the Service or its systems.
- Interfere with or disrupt the Service, its servers, or networks.
- Reverse engineer, decompile, or extract the source code of the Service.
- Use the Service to process data for which you lack the necessary consents or legal basis.
- Resell, sublicense, or commercially exploit the Service without our written permission.
7. Intellectual Property
The Curvii platform, including its software, design, branding, AI models, and content, is owned by us and protected by intellectual property laws. You retain ownership of your financial data. By using the Service, you grant us a limited licence to access, process, and store your data solely for the purpose of providing and improving the Service, as outlined in our Privacy Policy.
8. AI-Generated Insights
The insights, forecasts, and recommendations provided by Curvii are generated by artificial intelligence and are intended as guidance only. They do not constitute financial, accounting, tax, or legal advice. You should consult a qualified professional before making financial decisions based on AI-generated insights. We do not guarantee the accuracy, completeness, or timeliness of any AI-generated output.
9. Third-Party Services
The Service integrates with Xero and may integrate with other third-party services in the future. We are not responsible for the availability, accuracy, or practices of third-party services. Your use of third-party services is governed by their respective terms and policies.
10. Disclaimer of Warranties
The Service is provided on an "as is" and "as available" basis. To the fullest extent permitted by law, we disclaim all warranties, express or implied, including merchantability, fitness for a particular purpose, and non-infringement. We do not warrant that the Service will be uninterrupted, error-free, or free of harmful components.
11. Limitation of Liability
To the maximum extent permitted by New Zealand law, Curvii and its directors, employees, and agents shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including loss of profits, data, or business opportunities, arising from your use of or inability to use the Service. Our total liability for any claim shall not exceed the amount you paid us in the 12 months preceding the claim.
Nothing in these Terms excludes or limits liability that cannot be excluded or limited under the New Zealand Fair Trading Act 1986, the Consumer Guarantees Act 1993, or other applicable consumer protection legislation.
12. Indemnification
You agree to indemnify and hold harmless Curvii and its affiliates from any claims, damages, losses, or expenses (including reasonable legal fees) arising from your breach of these Terms, your misuse of the Service, or your violation of any law or third-party rights.
13. Termination
We may suspend or terminate your account at any time for breach of these Terms, with or without notice. You may terminate your account at any time through your account settings or by contacting us. Upon termination, your right to access the Service ceases immediately. We will delete your data in accordance with our Privacy Policy.
14. Governing Law
These Terms are governed by the laws of New Zealand. Any disputes arising from these Terms or the Service shall be subject to the exclusive jurisdiction of the courts of New Zealand.
15. Changes to Terms
We may update these Terms from time to time. Material changes will be communicated via email or through the platform. Continued use after changes take effect constitutes acceptance. If you do not agree to the updated Terms, you must stop using the Service.
